Biographies

Kerry A. Trapp is a member of Moss & Barnett's Commercial Department.  She focuses her practice on business organizations, entity selection and reorganization, mergers & acquistions, contract negotiation and drafting and corporate finance.  She has done significant work in the ethanol industry, including reviews, negotiation and advising with respect to design-build, procurement, co-product agreements and other business matters.  She also has experience on the financing side of ethanol start-ups, including counseling on private placement, IPOs and SEC compliance issues.

Previously, Kerry acted as corporate counsel to a national countertop fabricator and distributor, assisting in organizing its large subsidiary network, governance issues, day-to-day operational matters, commercial leases, employment issues, distribution and supply contracts and lending agreements.

Kerry has also assisted with litigation involving minority shareholder claims, D&O insurance coverage issues, non-compete and non-solicitation cases, WARN Act violations, landlord/tenant disputes, creditor's remedies, including foreclosure and collections work, and professional malpractice.
